Johann Kerbrat, Senior Vice President and General Manager of Robinhood Crypto, argues that revising accredited investor rules could unlock tokenization's potential in the U.S. Current regulations exclude 90% of Americans—primarily due to income thresholds—from participating in on-chain early-stage investments.

Kerbrat formally proposed a knowledge-based accreditation model to the SEC earlier this year. The shift WOULD democratize access to blockchain-based capital formation while maintaining transparency—a core advantage of distributed ledger technology.

Traditional startup funding relies heavily on venture capital and investment banks. Tokenization could disrupt this paradigm by enabling direct participation, but regulatory barriers remain the primary obstacle.
